Introduction to the Corporate Entity

Working for yourself is a great thing. It gives you freedom, time and a sense of pride and accomplishment. While it is undisputed that small businesses form the backbone of our economy, many of these small businesses can lead into trouble. While everyone believes they will be an unmitigated successes, the statistics reveal a majority of businesses will fail within two years. This means protecting yourself from the outset an important step.

Incorporating is a way to protect yourself if a business effort fails. Corporations are the oldest form of business entity, which means the laws surrounding them are well-established. In the eyes of the law, a corporation in a legal individual. This results in something known as the corporate shield against liability. If a corporation gets sued for business activities, the parties suing are restricted to recovering against the business. They cannot also name the shareholders. Let’s look at a practical example.

Microsoft if a publicly traded corporation, to wit, you and I can buy shares on the stock exchange. This effectively means that we are owners of the corporation, although our ownership interest is admittedly small. If Microsoft gets sued, we cannot be named in the lawsuit. If the suing parties win, they cannot recover against us personally, to wit, they can’t come for our home or bank account. The only option they have is to go after the bank accounts and assets of Microsoft, the corporation.

There are two exceptions where a corporation does not provide a shield against action to its shareholders. If I start a corporation and then pursue criminal activities, I get no protection. This is what happened to the individuals at Enron. Second, a corporation does not provide protection if I misuse it. This occurs when I intermingle my personal finances with it, conduct no real business and so on. This second situation is very hard to prove for a suing party.

As to the nuts and bolts of a corporation, the process is fairly simple. The corporation is formed by filing Articles of Incorporation with the Secretary of State for your location. The corporation is guided by something called its bylaws, which essentially state how corporate business will be conducted. The owners of shares in a corporation are known as shareholders. When corporate business is undertaken, a board of directors meets to discuss it and pass resolutions. The board members are elected by the shareholders.

When starting a business, it is important that you take steps to protect yourself. A corporation is a solid choice.

World War II ended more than sixty years ago. Its veterans are now as old as their World War I predecessors I remember from Armistice Day assemblies designed to hold our young minds still on the fact that these conflicts were real. They involved sacrifice, huge loss, and human triumph over a seemingly insurmountable enemy. But it was this second War to End All Wars that held the most horrific of secrets, revealed as Allied troops liberated German concentration camps. The secret was the Holocaust, a measured, intentional plan to destroy the people deemed unworthy for inclusion in Hitler’s definition of a perfect world. If the British had not been able to hold off a steady flow of German air raids, if thousands of ordinary people had not hidden their Jewish friends and neighbors, and if the United States had not entered the war, the world would surely be a different place today. The simple fact is that Hitler most likely would have succeeded, and we would not be safe.

We would would know what the people of Darer feel tonight.

Darer is located in the Western section of the African nation Sudan. African Muslims living in this region are facing annihilation by pro-government troops and Arab militias. Ethnic cleansing, a term with which we have become all too familiar in recent years, is being used again to describe this first genocide of the twenty-first century. People driven from their homes and off their land are now being stalked, then raped and murdered by their tormentors each night as they try to gather wood for campfires to cook food for their children, the ones who escaped with their lives. Their siblings were not all so fortunate. Between 200,000 and 400,000 people are already dead. Those camped on the border of neighboring Chad also face the soon-to-arrive rainy season. Their journey is far from over, and home is only a distant memory.

The rallying cry since those World War Ii death camps were discovered has been two fold: If we had known we would have done something, and, Never again.

We now know, and we must act. As ordinary citizens, as people of faith living in a country that claims a moral stand on individual rights, we must do more than was done for the people of Germany, the people of Cambodia, and the people of Rwanda. We must act before this time of mass killing escalates further. We must act before this slaughter becomes a distant, irreparable memory. We must remember the days of old, consider the years long past; ask your father, and he will inform you; your elders, and they will tell you (Deuteronomy 3:27). We must remember, and we must take these memories and be empowered by them, outraged by them, and we must act. We must act, out of faith in God, and love for our sisters and brothers who need us.

Stop Genocide rallies were held across our nation this past Sunday, April 30, urging the Bush administration to take stronger action to end the violence in Sudan’s Darer region. Thousands of people converged on Washington to add their support. The rallies have passed, but the need has not. We can still let President Bush, who clearly stated that another genocide would not occur on his watch, know that we want to help the Sudanese people who are suffering. We can tell our friends, notify our congresswomen and men, our senators and let the White House itself know that what is happening in Africa is wrong, and that it must stop.

We see all too clearly the hatred that has bred this violence, but let us also see what love the father has given us that we should be called children of God, and that is what we are (I John 3:1). Let us see this love, and act on it.

Greatest Hits Of All is the latest release from Jazz Sensation George Benson, and is another great one by this talented musician.

This CD will grab your attention right from the start with This Masquerade and won’t let go until the very last note of the very last song Standing Together, which by the way is another great track.

Greatest Hits Of All has a nicely varied, mix of 19 tracks that are very well written songs by this clearly talented artist. With many of the songs displaying a lot of the kind emotion that makes for a really great listen. Seemingly drawing from what I can only imagine are him own real life experiences. At different points touching on the most real emotions like love, heartbreak, pain, failed relationships and unattainable romance. They’re all here.

Listen to this CD and I believe you’ll find there’s not much to dis-like about it. The songs are inspired, the production is simply outstanding, and George Benson is clearly in top form. So much so that if you’re even mildly into Jazz music you’ll enjoy this CD.

In yesterday’s Network+ tutorial, we talked about the importance of Address Resolution Protocol (ARP) in today’s networks. A host PC must have the MAC and IP addresses of a remote host in order to send data to that remote host, and it’s ARP that allows the local host to request the remost host to send the local host its MAC address through an ARP Request.

The ARP Request is a layer two broadcast, and like all L2 broadcasts it has a destination MAC address of ff-ff-ff-ff-ff-ff. Switches forward broadcasts, but routers do not, which brings up a basic problem. If there’s a router between two hosts, how can one possibly send an ARP Request to the remote host, since routers do not forward broadcasts?

That’s where Proxy ARP comes in. For this example, let’s assume that HostA is on a network segment connected to RouterA’s ethernet0 interface, and HostB is on a network segment connected to RouterA’s ethernet1 interface. HostA wants to send data to HostB, but doesn’t have HostB’s MAC address. An ARP Request from HostA will stop at the router - but with Proxy ARP, the router will actually answer the ARP Request with the MAC address of the router interface that received the ARP Request!

In this case, RouterA will respond to the ARP Request with the MAC address of it’s own ethernet0 interface. This is transparent to HostA - when HostA sends data to HostB, the destination IP address will be that of HostB, but the destination MAC address will be that of RouterA’s ethernet0 interface.

Since we’ve now discussed ARP and Proxy ARP, I do want to mention RARP - Reverse Address Resolution Protocol. RARP allows a host device to send a request for its own IP address, and this response will be answered by a RARP server. You don’t see RARP that often anymore, since DHCP does the same thing and much more, but you should know what RARP does. When I was growing up, I loved the flavor of bbq sauce. I ate it on everything from hamburgers to onion rings. Much to my mother’s disappointment, bbq sauce graced our dinner table every night. She didn’t really like the fact that I slathered all of her good cooking with bbq sauce, but I guess she figured it was good that I was cleaning my plate even if I soaked my dinner in sauce to do it.

As I entered into adulthood, I became a little more discriminating when it came to bbq sauce. The day I arrived in the state of Alabama, I bundled to the closest bbq joint. You could smell the meat cooking a mile away and as I pulled into the parking lot, I breathed deeply of the exciting scent. I had my moist towelettes. I had a spare shirt. Men usually don’t care about our skin. It’s a simple fact.

We tend to think we are made from an indestructible material, and that our skin is made of iron.
